JOB PURPOSE

The Senior Legal Counsel is a key member of the Massy Group Legal Services team, responsible for providing strategic legal advice and support to the Group, ensuring compliance with all applicable laws and regulations, managing legal risks, and with focus on the finance and remittance services operations. This role involves close collaboration with various departments, including compliance, finance, business operations, and executive management, to align legal strategies with business objectives.

DUTIES AND RESPONSIBILITIES
Key Duties and Responsibilities include but are not limited to:

1. Legal
  • Provide expert legal advice to senior management on a broad range of issues related to corporate transactions, finance and remittance services.
  • Provide general legal advice and support.
  • Develop and implement legal strategies to support business objectives and mitigate legal risks.
  • Advise on regulatory applications – licence applications; product and service amendments; governance updates and specific engagement with the Regulators for review and feedback.
  • Advise on new product development, marketing strategies, and partnerships to ensure compliance with applicable laws and regulations.
  • Advise on formulation, interpretation, implementation of Massy Group policies to ensure consistency, compliance with contractual obligations re business partners, applicable laws, industry practice/standards.

2. Regulatory Compliance:
  • Provide oversight for compliance with local and international laws and regulations, including AML (Anti-Money Laundering), KYC (Know Your Customer), and data protection laws in the various jurisdictions within which the Group operates.
  • Supports the strategy of AML/CFT Compliance, regional Country Management across the various jurisdictions within which the Group operates and the Training and Implementation of the Compliance Policies, Procedures and Systems.
  • Monitor regulatory changes and advise the group on necessary adjustments to policies and procedures, in the various jurisdictions within which the Group operates.
  • Manage relationships with regulatory bodies and oversee regulatory filings and reports.

3. Contract Management:
  • Draft, review, and negotiate a wide range of contracts and financial instruments, including service agreements, partnership agreements, hire purchase agreements, vendor agreements, and customer terms and conditions.
  • Ensure all contracts comply with applicable legal standards and reflect the company’s interests.

4. Corporate Governance:
  • Support corporate governance activities, including board meetings, corporate filings, and adherence to governance best practices.
  • Advise on corporate structure, mergers, acquisitions, and other strategic transactions.

5. Litigation and Dispute Resolution:
  • Manage litigation and dispute resolution processes, including coordinating with external counsel as needed.
  • Develop strategies for resolving disputes efficiently and cost-effectively.
  • Represent the company in legal proceedings and negotiations.

6. Risk Management:
  • Identify and assess legal risks associated with the company’s operations and strategic initiatives.
  • Develop and implement risk mitigation strategies and policies.
  • Conduct training on legal, contract, process and compliance matters for commercial and other business, legal and compliance personnel.

7. Document Management:
  • Fully updated and populated fields on all matters Managed or supporting in Law Vu or other document management app and server/portals.
  • Current and up to date filing of correspondence, supporting documents and original documents.
  • Supporting on provision of template documents, advices, key correspondences etc for upload to LawVu or other document management app and server/portals.

8. Team Leadership and Development:
  • Lead and mentor a team of legal and compliance professionals, fostering a collaborative and high-performance work environment.
